These Terms of Service ("Terms") form a binding agreement between you and US Tester Program ("US Tester Program," "we," "us," or "our") governing your access to and use of ustesterprogram.com (the "Site") and any related services (together, the "Service"). By accessing the Site or submitting an application, you accept these Terms in full. If you do not accept them, do not use the Service.

1. Acceptance of Terms

By accessing the Site, submitting an application, or otherwise using the Service, you confirm that (a) you are at least 18 years old; (b) you have read, understood, and agree to be bound by these Terms and our Privacy Policy; and (c) you have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of any entity, you represent that you have authority to bind that entity to these Terms.

2. What we do

US Tester Program operates a referral and matching service that introduces interested individuals ("applicants" or "panelists") to consumer product testing programs run by independent third-party brand partners. We do not manufacture, ship, sell, or warrant any products. We do not employ panelists, and we do not directly determine acceptance into any specific testing program — those decisions are made by the brand partner administering each program.

Important: Submitting an application does not guarantee acceptance into any testing program. Acceptance, product allocation, evaluation criteria, and any compensation are determined by the third-party partner operating the relevant program.

We reserve the right to suspend or remove panelists who violate these obligations or engage in fraudulent activity, with no entitlement to compensation for unsubmitted or rejected reviews.

5. Intellectual property

All content on the Site — including text, graphics, logos, layout, code, and the "US Tester Program" name and brand — is owned by or licensed to US Tester Program and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, scrape, or create derivative works from the Site without prior written permission, except for personal, non-commercial viewing of the Site itself. Any feedback, ideas, or suggestions you submit to us about the Service may be used by us without obligation or attribution.

6. Third-party services and links

The Service may include links to or integrations with third-party websites, services, partner platforms, advertising networks, and analytics providers. We do not control these third parties and are not responsible for their content, terms, privacy practices, or operations. Your interactions with any third party are governed solely by that third party's terms and policies. The presence of a link or integration is not an endorsement.

7. Disclaimers

7.1 "As is" basis

The service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or uninterrupted operation.

7.2 No guarantee of selection or product

We do not guarantee that any applicant will be selected for a testing program, that any specific product will be received, or that products received will perform as described or be free from defects. Selection criteria and product availability are at the sole discretion of partner programs. Any benefits to panelists associated with a given testing cycle (including any compensation, gift, or other consideration) are determined solely by the relevant partner under terms communicated at the time of invitation.

8. Limitation of liability

To the maximum extent permitted by applicable law, US Tester Program and its officers, directors, employees, contractors, affiliates, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or relating to your use of the Service, even if advised of the possibility of such damages.

Our aggregate liability for any claim arising out of or relating to the Service shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) USD $50.

Some jurisdictions do not allow exclusion or limitation of certain damages, so portions of this section may not apply to you.

9. Indemnity

You agree to defend, indemnify, and hold harmless US Tester Program and its officers, directors, employees, contractors, affiliates, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) any feedback, review, or content you submit.

10. Dispute resolution

10.1 Informal resolution

Before filing any formal claim, you agree to first contact us at support@ustesterprogram.com and attempt good-faith resolution for at least 30 days.

10.2 Governing law and venue

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Subject to Section 10.3, exclusive jurisdiction and venue lie in the state and federal courts located in New Castle County, Delaware.

10.3 Binding arbitration; class waiver

Except for claims for injunctive or equitable relief regarding intellectual property, or where prohibited by law, any dispute arising out of or relating to these Terms or the Service shall be resolved by final, binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. You and US Tester Program each waive any right to a jury trial and any right to participate in a class action, collective action, or representative proceeding.

You may opt out of arbitration by sending written notice to support@ustesterprogram.com within 30 days of first accepting these Terms, with the subject line "Arbitration Opt-Out."

11. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including breach of these Terms, suspected fraud, or compliance with legal requirements. Sections that by their nature should survive termination — including disclaimers, limitation of liability, indemnity, and dispute resolution — shall continue to apply.

12. Communications

By submitting your email address, you consent to receive transactional and program-related communications from us. We comply with the CAN-SPAM Act and other applicable communication laws. You may unsubscribe at any time using the link in any email, by replying STOP to any SMS, or by contacting support@ustesterprogram.com. We do not sell contact details to third-party marketers.

13. Independence and non-affiliation

US Tester Program is an independent company. We are not affiliated with, endorsed by, or sponsored by Amazon.com Inc., Meta Platforms Inc., Facebook, Instagram, or any retailer or social media platform. We are not an official testing program of any specific brand. References to third-party brand names or product images on the Site are for identification and illustrative purposes only and remain the property of their respective owners.

14. General

14.1 Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and US Tester Program with respect to the Service and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found unenforceable, that provision shall be modified to the minimum extent necessary to render it enforceable, and the remaining provisions shall remain in full force.

14.3 No waiver

Our failure to enforce any right or provision shall not be deemed a waiver of that right or provision.

14.4 Assignment

You may not assign these Terms without our prior written consent. We may assign or transfer these Terms in connection with a merger, acquisition, or sale of assets.

14.5 Modifications

We may revise these Terms from time to time. The "Effective" date at the top reflects the latest revision. Material changes will be communicated by posting on the Site or, where appropriate, by direct notice. Continued use after the effective date constitutes acceptance of the revised Terms.
